Business Agreement for ShopFleet Account

BUSINESS ROLES

ShopTag Inc.:

  • Provides web environment for marketing and sales
  • Provides web technical support
  • Maintains and updates the websites
  • Promotes, advertises & sells products online
  • Presents online sale outcome and forward profit to merchant


  • Merchant:

  • Provides products & product information
  • Owns warehouse to stock products
  • In charge of shipping, return, exchange and product support
  • Approves and confirms with ShopTag for all refund issues


  • BUSINESS PROCEDURES

    ShopTag Inc. shall construct and maintain two websites in order to accomplish the business achievement.

    www.ShopTag.com is the online shopping website for consumers:

    Consumers will be capable to view, search, place order and pay for selected products. Consumers will receive product services (return, exchange and product technical support) from merchant after completing purchase from www.ShopTag.com. ShopTag Inc. will set up more websites and utilize other approaches to enhance online sales.

    www.ShopFleet.com is the online management website for merchant:

    Merchant shall be assigned a web account on this website in order to supply contract information, process orders, manage product data, view sale status and communicate with ShopTag Inc.

    Party A: ShopTag Inc.

    ShopTag provides a platform for merchants and consumers to complete transactions. ShopTag has no responsibility to get involved with any issue after sells.

    The consumer's shopping process will be completed on www.ShopTag.com, including product search, exhibition (product images, description, price and shipping information), shopping cart, submission of personal information and product charge.

    As an order is placed, a notification shall be forwarded to both consumer and merchant via email. Merchant shall be able to retrieve order details (ordered product name, model, selected shipping method, customer name and shipping address) in the web account on www.ShopFleet.com.

    Party B: Merchant

    After completing account registration, merchant must send ShopTag Inc. a voided business check. Merchant must provide ShopTag Inc. product information from www.ShopFleet.com web account. All product information must include at least one product image, product description and product prices. The product and submitted information will be posted on www.ShopTag.com. The Sales Circle shall be activated. The sale activation date is the first day of SC (Sales Circle).

    Merchant must check emails frequently to avoid any possible delay for order processing. When merchant receives order notification email, merchant must log into ShopFleet account to process the order immediately. The order information will include the title, model, quantity of ordered products, order date, the selected shipping method and consumer's shipping address.

    As soon as merchant receives consumer order information, merchant must immediately start shipping that must enclose Return & Exchange policies and contact information necessary for return, exchange and other product support services. Merchant must be responsible for any shipping error and delay. It is merchant's duty to receive returned product (the issues related as wrong products, incorrect mailing address, poor quality, etc.) from consumers and resend proper products right away. Sending correct products with accurate mailing address is essential. Violation will lead to sale loss.

    Merchant must fill in shipping date for each order to notify customer as an indicator of Shipping Completed in the ShopFleet.com account as soon as the order is shipped. The copy of shipping receipt must be sent to ShopTag Inc. as a proof of completion of sales. Failure of providing such proof will eliminate merchant's income credit. Every sale credit will be counted until the above shipping proof is present.

    If consumers reported any complaint or requested any service support, merchant must resolve the issue with consumers responsibly and efficiently. If merchant or consumers submit such issue to ShopTag, ShopTag will be on behalf of consumer benefits.

    Merchant shall receive sale profit in the end of every Sales Circle. The amount of profit is calculated that based on the total confirmed sales during the Sales Circle after deduction of commission. The days of one Sales Circle depends on the value of sales.

    TERMS

    Website Maintenance:

    ShopTag Inc. has the privileges of changing website structure. ShopTag Inc. may or may not give notices to merchant when such changes are taken place. Any illegal, exotic or improper merchant created content will be eliminated or cancelled by ShopTag Inc. www.ShopTag.com and www.ShopFleet.com will be shut down for any maintenance or emergency related issues. The notification will be forwarded to merchant as soon as possible.

    ShopTag Inc. shall utilize SSL that provides encrypted communications on the Internet. It secures transactions, preventing eavesdropping, tampering and impersonation. It provides encryption and authentication.

    Product Price:

    The prices of online products (www.ShopTag.com) shall be decided and adjusted by merchant. The product tax is determined by the tax regulation in every state.

    Product Support:

    Merchant must update product information due to the change of product support situation (warehouse, stock, etc.). Merchant must immediately indicate that a certain product is currently unavailable if it's out of stock. Any product related services after completion of purchase on www.ShopTag.com must be issued and handled by merchant. They include product technical support, return, exchanges and refund support. Failure of following rules will face contract termination by ShopTag Inc.

    Commission:

    The compensation of ShopTag Inc. is only based on contracted commission. ShopTag Inc will deduct 15% of the online gross sale of merchant's every Sales Circle as commission.

    Return / Exchanges / Refund:

    Merchant must submit their Return & Exchanges policies to ShopTag as processing the application. The approved Return & Exchanges policies will be posted with merchant's products on ShopTag.com. Merchant's Return & Exchanges policies must meet the service requirements below:

  • Must provide customers return, exchanges and refund services
  • Must indicate the periods and conditions for above services
  • Any fee that will be applied on above services must be clearly described
  • Must declare in details if there is any exception


  • If consumers encountered any problem, or are unsatisfied for any quality related reason, they shall directly contact merchant for replacement or refund. Merchant must handle refunds to customers. Refund shall be approved by merchant, and then merchant must notify ShopTag through the web account on ShopFleet.com. Merchant must also enclose customer support, return / exchange / refund information with the products before sending to consumers. Therefore consumers will be able to obtain merchant's contact information and return / exchange / refund policies.

    ShopTag will also receive a refund request from consumers after they finish shipping the products back to merchant. Merchant must immediately complete the confirmation of refund approval in online account as soon as receiving customer's refund request and returned products. For the order that is approved full refund, the commission fee will be eliminated. Credit Card Gateway will charge $25 Charge-Back fee for every single negative report from customers regarding product services error. Failure to notify ShopTag about refund approval on time, the $25 Charge-Back fee will be applied on merchant. The Charge-Back fee will also be charged on merchant if customer reported to credit card company or bank about any unsatisfied issue that is caused by any mistake or error in merchant's services. Therefore it is extremely important to process all the product services efficiently and professionally.

  • Process consumer's returning and all other issues as efficiently as possible
  • Notify ShopTag as receiving returned product and whether the refund request is approved
  • A $25 Charge-Back fee will be filed to merchant as consumer reports failure of receiving correct products or refund that are caused by the disqualification of merchant's service


  • Sales Circle:

    As merchant's shipping receipt is received by ShopTag Inc., the credit will be added to merchant's sale profit during the Sales Circle. The first day of sale activation is the first day of merchant's Sales Circle. One Sales Circle is 2 weeks. The merchant's total income of a Sales Circle is the total gross sales within the Sales Circle deducted by commission, and will be transferred to merchant via business check within 7 business days after each Sales Circle ends. Any credit delay caused by Gateway will be enrolled into the next Sales Circle.

    Utilization of Customer Information:

    The purpose of collecting customer personal information for merchant is only to use for online services of ShopTag. Any unsuitable utilization by merchant is illegal and will be prosecuted.

    Product Quality:

    Merchant is responsible for shipping quality, product quality and product safety. The ordered product must arrive in destination on time with correct selected shipping method by consumers. The quality of ordered products must be guaranteed by merchant. Any quality related issue must be conducted by merchant. Any product safety related issue will cause law suit against merchant. ShopTag Inc. does not have duty and responsibility for the above issues. ShopTag has authority to terminate the contract regarding any violation of these regulations.

    Shipping Quality:

    Merchant is responsible for any shipping loss, damage and delay.

    Notification and Update:

    Merchant must manage and maintain company and product information in the web account on www.ShopFleet.com in order to prevent inconvenient or improper customer services. Merchant must update the web account for any business change (product availability, product stock status, shipping method change, price change, etc.) issues.

    Contract Termination:

    Both parties have authority to terminate contract as wish. ShopTag Inc. shall cancel merchant's online sale service at requested termination date after receiving the termination request from merchant. The effective termination date shall not affect the shipping and product support services which occurred before termination day.

    Merchant must finish all the product support services for the orders issued before the effective termination date. The contract termination must be informed to ShopTag Inc. at least 2 weeks ahead.
